1. Acceptance of Terms

By accessing or using the HelloSTAR.xyz platform ("Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the terms, you may not access the Platform. These terms are a binding agreement between you and Hello Star Service Platform Ltd.

2. Eligibility Requirements

You must be at least 18 years old to use the Platform. By using HelloSTAR.xyz, you warrant that you possess the legal authority to create a binding legal obligation.

3. Account Registration and Security

You must provide accurate, complete, and updated information during registration. You are responsible for safeguarding your password and any activities or actions under your account.

4. User Obligations

For Customers:

• Provide accurate and detailed service requirements.
• Make timely payments via the Platform.
• Respect providers' time, expertise, and maintain a safe environment.
• Do not engage in harassment or abusive behavior.
• Strictly prohibit off-platform transactions with providers.

For Service Providers:

• Submit authentic NID, certificates, and operational documents.
• Maintain a minimum 4.0-star rating.
• Respond to at least 80% of booking requests.
• Successfully complete at least 90% of accepted bookings.
• Conduct yourself professionally and honor quoted prices and timelines.
• Strictly prohibit soliciting off-platform payments from customers.

For Professionals/Agents:

• Act strictly within the scope of your platform authorization.
• Maintain complete confidentiality of user data.
• Follow all platform guidelines regarding referrals and commissions.

5. Service Booking and Orders

A booking constitutes a binding contract between the Customer and the Service Provider. HelloSTAR.xyz provides the technology to facilitate this connection but is not a party to the actual service contract.

6. Pricing, Fees, and Payments

• All payments must be processed through our integrated payment gateway (SSLCommerz).
• Prices listed include VAT/taxes where applicable.
• HelloSTAR.xyz deducts a 15% platform commission from the provider's earnings prior to payout.
• Provider payouts are processed Weekly.
• The minimum withdrawal amount is 500 BDT.

7. Cancellation and Refund Policy

Please refer to our dedicated Refund and Cancellation Policy. In brief:

• Customer cancellation before provider acceptance: Full refund.
• Customer cancellation after acceptance: 10% cancellation fee applies.
• Provider cancellation: Full customer refund + 10% provider penalty or account warning.

8. Dispute Resolution and Governing Law

• Mediation: Disputes must first be submitted to the Platform's mediation team (free of charge) within 48 hours of service completion.
• Arbitration: Unresolved disputes will be settled by binding arbitration in accordance with the laws of Bangladesh.
• Jurisdiction: These Terms shall be governed by the laws of Bangladesh, with exclusive jurisdiction in the courts of Dhaka.

9. Intellectual Property Rights

Hello Star Service Platform Ltd retains all rights, title, and interest in its software, design, and branding. Users retain ownership of their uploaded content and reviews but grant HelloSTAR.xyz a non-exclusive, worldwide, revocable license to use, display, and distribute this content for platform operations.

10. Limitation of Liability

HelloSTAR.xyz acts solely as a marketplace and is not liable for provider negligence, misconduct, or incomplete services. Our maximum liability to you for any claim arising out of these Terms is limited to the amount paid for the specific service in dispute. We are not liable for any consequential, indirect, or punitive damages.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hello Star Service Platform Ltd and its employees from any claims, damages, obligations, losses, or debt arising from your use of the Platform or violation of these Terms.

12. Account Termination and Suspension

HelloSTAR.xyz reserves the right to terminate or suspend your account immediately, without prior notice, for conduct that we determine violates these Terms (e.g., fraud, off-platform payments) or after 12 months of inactivity. Standard terminations will be preceded by a 7-day notice.

13. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be communicated via the platform. Continued use of the Platform constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed to accomplish the objectives of such provision to the greatest extent possible under applicable law.

15. Waiver

The failure to exercise a right or require performance of an obligation under these Terms shall not effect a party's ability to exercise such right at any time thereafter.

16. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Hello Star Service Platform Ltd's prior written consent.

17. Entire Agreement

These Terms constitute the entire agreement between us regarding our Platform and supersede any prior agreements.
